NumoBot Finance Terms of Service and User Agreement
These terms apply when you access or use NumoBot Finance, including website, workspace, invoices, reports, AI features, support, billing and related services.
1. Acceptance, authority and account responsibility
By creating an account, signing in, accepting the consent form, using the website, desktop app, mobile app, APIs, AI features, reports, invoices, billing, payment or support services, you agree to these Terms and the Privacy Policy.
You confirm that you are legally capable of entering into this agreement and, where you use NumoBot Finance for a business, you are authorised to bind that business, its owners, directors, partners, employees and invited users.
You are responsible for maintaining accurate account information, safeguarding passwords, OTPs, devices and user access, and promptly disabling users who should no longer access your workspace.
2. Nature of service and no professional advice
NumoBot Finance is accounting workflow, billing, reporting, automation and productivity software. It is not a chartered accountant, auditor, tax advisor, legal advisor, investment advisor, financial planner or compliance officer.
All invoices, ledgers, GST summaries, financial reports, AI outputs, alerts, reconciliations, suggestions, classifications and generated documents must be reviewed by you and your qualified professional before filing, issuing, sharing, relying on or acting on them.
You remain solely responsible for statutory filings, taxes, TDS/TCS, GST applicability, e-invoicing/e-way bill obligations, accounting treatment, audit decisions, business decisions and compliance deadlines.
3. Data accuracy, uploads and user-generated records
You are responsible for the accuracy, legality and completeness of all company details, GSTIN/PAN, customer/vendor details, uploaded documents, invoice data, accounting entries, inventory, bank data, tax rates and reports entered into the platform.
NumoBot may provide validations, warnings, automation and AI suggestions, but these do not replace your obligation to verify records before use.
You must not upload unlawful, infringing, malicious, fraudulent, obscene, sensitive personal data not required for accounting, or data that you do not have rights or lawful authority to process.
4. Payments, subscriptions, bonus coins and billing
Paid plans are charged online through payment gateway partners such as Razorpay. Subscription access may begin only after successful payment capture, internal verification and/or webhook confirmation.
Plan prices, features, limits, support levels and billing cycles may change prospectively. Any offer, pilot price, coupon, bonus coin, credit or wallet benefit is discretionary and may be withdrawn, limited or corrected if misused or issued in error.
Bonus coins are company-level subscription credits only. They have no cash value, cannot be withdrawn, transferred outside the eligible workspace or converted to money, and may be adjusted for fraud, misuse, reversal or operational correction.
Unless a specific invoice clearly states otherwise, NumoBot subscription/service invoices generated by us are non-GST service receipts/invoices and no GST is charged by NumoBot to the customer for that subscription payment. Customer-created invoices inside their own workspace are separate business invoices controlled by the customer.
5. Refunds, cancellation, downtime and plan changes
Subscription fees are generally non-refundable once payment is captured and service access is activated, except where required by applicable law or specifically approved by NumoBot in writing.
Plan upgrades may be immediate and may be calculated on a full-year or prorated basis depending on the product logic available at that time. Downgrades, pauses or cancellations may take effect at the end of the current billing period unless otherwise stated.
Service availability can be affected by maintenance, internet failures, hosting providers, third-party APIs, payment gateways, email/SMS providers, browsers, user devices, force majeure or events outside NumoBot control.
6. OTP, security, sessions and access control
NumoBot may use password login, email verification, OTP verification, single-session controls, session expiry, audit logs, device/browser details and IP capture to protect accounts.
If concurrent-login controls are enabled, a newer login may invalidate older sessions. Users must not share credentials or bypass security controls.
Superadmin and company admins are responsible for granting, reviewing and removing team access, role permissions and company-level data visibility.
7. AI, automation and third-party integrations
AI and automation features may produce incomplete, incorrect, delayed or context-limited outputs. You must review and approve any AI-generated document, classification, report, message, entry, reminder or recommendation before use.
Third-party integrations, including payment gateways, email providers, hosting, analytics, storage, OCR, AI, WhatsApp/share links, Google services or other APIs, are governed by their own terms and availability. NumoBot is not responsible for third-party downtime, rejection, blocking or policy changes.
8. Acceptable use and prohibited activity
You must not use NumoBot for illegal activity, fraud, tax evasion, fake invoicing, money laundering, harassment, spam, unauthorised scraping, reverse engineering, malware, security testing without permission, overloading systems or violating another person’s rights.
We may suspend or restrict access if we suspect misuse, non-payment, illegal conduct, security risk, abusive behaviour, platform harm, compliance risk or breach of these Terms.
9. Privacy, consent records and logs
We may store consent records, login events, OTP status, IP address, browser/user-agent, payment IDs, audit events, support communications, NPS responses, usage data and analytics to operate, secure, improve and evidence the platform.
You are responsible for ensuring that any personal data entered by you or your team is collected and processed lawfully, and for providing any notices or consents required from your employees, customers, vendors or other data subjects.
10. Intellectual property and feedback
NumoBot, the software, UI, workflows, templates, branding, documentation, code, designs, automations and platform content are owned by or licensed to NumoBot. You receive only a limited, non-transferable right to use the platform according to your plan.
Feedback, suggestions, feature requests, NPS comments and support inputs may be used by NumoBot to improve the product without obligation or compensation, while respecting applicable confidentiality and privacy commitments.
11. Limitation of liability and indemnity
To the maximum extent permitted by law, NumoBot is not liable for indirect, incidental, special, consequential, punitive or business-loss damages, including loss of profit, revenue, goodwill, data, tax benefit, compliance status or business opportunity.
Our aggregate liability for paid services is limited to the amount paid by you to NumoBot for the affected subscription period giving rise to the claim, unless a higher liability cannot be excluded under applicable law.
You agree to indemnify NumoBot against claims, losses, penalties, damages, costs and expenses arising from your data, misuse, unlawful activity, tax/accounting decisions, customer/vendor disputes, user access decisions or breach of these Terms.
12. Governing law, dispute resolution and updates
These Terms are governed by the laws of India. Courts and authorities having jurisdiction over NumoBot’s registered/principal place of business will have jurisdiction, subject to any mandatory law that applies.
We may update these Terms from time to time. Material updates may require fresh consent on login or continued use. Continued use after changes means acceptance of the updated Terms.
